What a warning letter is — and how to make it count without breaking the law

A warning letter is a formal record that an employee’s conduct or performance has fallen short, and a notice of what must change. It is the backbone of fair discipline: in Kenya you generally cannot fairly dismiss someone for ordinary misconduct or poor performance without first putting them on notice and giving them a chance to improve. The warning is that notice.

The Employment Act, 2007 protects employees from unfair termination (sections 41, 43 and 45): the employer must have a valid reason and follow a fair procedure. A documented series of warnings — first, second, final — is powerful evidence that the reason was genuine and the process fair. Skip the warnings and even a justified dismissal can be found unfair for want of procedure.

A warning must be specific and fair: state exactly what happened and when, the standard that was breached, the improvement required and by when, and what will follow if things don’t change. Crucially, preserve the employee’s right to respond — a warning is not a verdict, and a one-sided letter with no chance to reply weakens your position.

What a warning letter should include

  • Which warning this is — first, second, or final
  • The specific incident: what happened and the date
  • The standard or rule that was breached
  • The improvement required, and the period over which it will be reviewed
  • The consequence of a further breach, stated fairly
  • The employee’s right to respond, and how long the warning stays active

Common mistakes to avoid

  • Vague accusations (“your attitude is poor”) instead of specific, dated facts
  • Jumping to a final warning or dismissal without a fair, graduated process
  • Denying the employee any chance to respond — a warning is not a verdict
  • Not keeping the signed letter on the personnel file, so there’s no record later

Questions

How many warnings are required before dismissal in Kenya?

There is no fixed number in the Act, but a fair, graduated process — typically first, second and final written warnings for ordinary misconduct or poor performance — is expected. Gross misconduct can justify moving faster, but a fair hearing is still required.

Does an employee have to sign the warning letter?

Signing acknowledges receipt, not agreement. If an employee refuses to sign, note the refusal and, ideally, have a witness. The warning still stands; the acknowledgement line simply strengthens your record.

Can I dismiss straight after a final warning?

Only on a further valid breach and after a fair procedure — usually a show-cause letter and a hearing before any termination. A final warning lowers the threshold, but it doesn’t remove the need for fair process.

How long does a warning last?

Commonly three to six months, after which it lapses if there is no repeat. State the period in the letter. A lapsed warning generally shouldn’t be relied on for a later dismissal.

Should I warn for poor performance or only misconduct?

Both. For performance, set clear, measurable improvement targets and a realistic review period, and offer reasonable support. Fair process applies to performance dismissals just as it does to misconduct.
